Velocity Lab Innovation (VLI) supplies specialized competition drone-sports hardware, automated referee solutions, high-rate discharge battery power systems, and technical event services across Hong Kong and the Asia-Pacific region.

Drone soccer is an internationally recognized, full-contact aerial collision sport. Aircraft operate at high velocity inside protective spheres and sustain repeated, forceful impacts against opposing airframes, goal rings, and safety netting. Because structural stress and mechanical wear are inherent to standard competition gameplay, this policy establishes clear, rigorous boundaries between inherent factory defects, standard gameplay wear, and catastrophic crash damage across VLI's three commercial tiers.

Catalogue Tier Architecture

All equipment listed on the VLI product catalogue operates under one of three clearly defined service and warranty tiers.

Where a written VLI quotation for a bundle or institutional package states extended terms (for example, the 30-day manufacturing-defect warranty included in the STEM Classroom Kit), those quoted terms apply to that order in addition to this policy.

Order Cancellation and Pre-Dispatch Terms

Standard stock items such as accessories, chargers, carry bags, and packaged tools may be cancelled prior to warehouse dispatch with a 100% refund, less any non-recoverable payment processing gateway fees.

Tier 2 Verified and custom-configured drones require individual bench assembly, wiring quality control, and custom PID flight-tuning by VLI engineers. Cancellation requests received after bench preparation has commenced will incur an administrative bench fee of 15% of the drone unit price.

Bespoke and institutional turnkey orders, including custom tournament arena netting, custom-branded airframes, or tailored fleet procurement packages, cannot be cancelled once production or procurement has been initiated.

Discretionary Returns and Eligibility

Customers may return unopened, non-drone peripheral equipment (such as chargers, carry cases, and unused tools) within 14 calendar days of delivery, subject to the following mandatory conditions:

• The product must be 100% brand new, unopened, in original factory packaging, with all seals, tamper stickers, manuals, and accessories intact.
• Products that have been powered on, used, altered, or registered cannot be accepted for discretionary return.
• All approved discretionary returns are subject to a 15% restocking fee to cover warehouse inspection and repackaging.

Tier-Specific Return Rules

Tier 1: Parts Only airframes and electronic components are eligible for return or replacement strictly within 7 calendar days of delivery, and only in cases of verified out-of-the-box manufacturing defects (DOA). Once a motor, ESC, flight controller, or carbon plate has been soldered, flight-tested, or crash-damaged, returns are strictly disallowed.

Tier 2: Verified pre-tuned drones cannot be returned for discretionary change-of-mind reasons. If an airframe arrives non-functional due to transit damage or a component defect, VLI will repair or replace the unit under the Tier 2 warranty terms.

Tier 3: VLI-CARE add-on subscriptions may be cancelled for a 100% refund within 14 calendar days of purchase, provided that no repair or service claims have been filed. Once a repair claim has been submitted, VLI-CARE fees are non-refundable.

Strictly Non-Returnable and Final Sale Items

Under international aviation transport regulations (IATA / IMDG) and strict electrochemical safety standards, Lithium Polymer (LiPo / LiHV) flight batteries that have been unsealed, plugged in, charged, discharged, or cycled are strictly non-returnable under any circumstances. Defective batteries must be reported within 48 hours of receipt, prior to initial charging.

Consumable wear items, including propellers, zip ties, carbon fiber structural rods, and sphere outer cages that have been opened or flown, are non-returnable.

Return Merchandise Authorization (RMA) Workflow

1. Submission: The customer must email info@velocity-lab.com with the subject "RMA Request - [Invoice/Order Number]", detailing the issue, accompanied by high-resolution photographs, video of the fault, and serial numbers.
2. RMA Authorization: VLI evaluates the request and issues an official RMA tracking number and delivery instructions within 2 business days. Returns sent without an authorized RMA number will be refused.
3. Logistics Responsibility: The customer is responsible for secure packaging and insured courier delivery to the VLI Hong Kong workshop. VLI will reimburse standard domestic shipping expenses only if the returned item is confirmed to have a genuine factory manufacturing defect.
4. Inspection and Settlement: Technical bench inspection is completed within 3 to 5 business days of receipt. Approved refunds will be credited via the original payment method or institutional bank transfer within 7 to 10 business days.

Warranty and Service Terms

Tier 1: 7-Day Limited DOA Hardware Warranty

Tier 1 hardware provides an economical entry point for experienced hobbyists and builders. In return for the lower entry price, warranty coverage is strictly bounded:

• Covered: Inherent manufacturing defects in un-flown flight controllers, 4-in-1 ESCs, motors, or chargers, reported within 7 calendar days of delivery.
• Exclusions: Any physical damage, impact fractures, burnt ESC MOSFETs resulting from locked rotors, short circuits caused by improper soldering, reversed battery polarity, or third-party firmware flashing.
• Post 7-Day Support: Following the 7-day period, all maintenance and servicing must be commissioned through VLI's out-of-warranty repair workshop at standard labor and parts rates.

Tier 2: 30-Day Workmanship & Stability Warranty

Tier 2 Verified airframes undergo bench assembly verification, motor direction checking, receiver mapping, and PID flight-tuning prior to dispatch:

• Covered: Workmanship, internal wiring integrity, cold-solder joint remediation, and baseline flight stability for 30 calendar days from delivery.
• Tuning Support: Includes one complimentary remote or bench re-tune session if unexplained flight oscillation or drift occurs under factory flight modes.
• Exclusions: Mid-air collisions, arena netting tangles, goalpost strikes, bent motor shafts, fractured outer cages, water ingress, and pilot control errors.

Tier 3: VLI-CARE Annual Protection Terms

VLI-CARE provides institutional teams, schools, and tournament competitors with a fixed-cost maintenance framework for one full year (365 calendar days):

• 100% Free Technician Labor: Zero bench fees for diagnosis, teardown, structural re-caging, electrical resoldering, and re-tuning throughout the term.
• Covered Component Replacements: Free replacement of core components damaged during sanctioned training and competition gameplay, including brushless motors, 4-in-1 ESC modules, flight controllers, receivers, and carbon base plates.
• Priority Bench Service: Expedited workshop turnaround, targeting completion within 5 to 7 business days from receipt.
• Annual Incident Limit: Covers up to two (2) major repair incidents per registered aircraft serial number per year. Subsequent repairs are billed at a 50% discount on labor with parts charged at cost.
• Catastrophic Loss / Total Write-Off (>80% Destruction): When an airframe suffers irreparable total destruction, VLI will provide a complete core replacement assembly at a subsidized deductible of 15% of the model's Tier 1 retail price.
• Logistics Clause: Shipping and courier freight are not included under VLI-CARE. Customers must arrange courier transit to and from the VLI workshop, or utilize complimentary in-person drop-off and collection.
• Exclusions: Consumable parts including propellers, sphere protective cage panels, flight batteries, cosmetic scuffs, water damage, and flyaways/lost aircraft where no wreckage is presented for inspection.

Standalone Workshop Repair Services

As published on the VLI services portal, VLI operates an open mail-in repair and PID-tuning workshop for all drone soccer platforms.

Mail-in Intake: Customers submit an intake request via info@velocity-lab.com and dispatch the equipment to the VLI workshop.

• Diagnostic Quotation: VLI evaluates the aircraft and provides a comprehensive quotation outlining required components, technician labor hours, and turnaround estimates.
• Delivery and Inspection Fee Waiver: Diagnostic bench fees are waived in full if the proposed repair quotation is approved and completed.
• Post-Repair Warranty: All replaced components and associated technician soldering work are warranted for 30 calendar days against defects.

LiPo Battery Safety and Compliance

Lithium Polymer (LiPo) and LiHV batteries require strict operational discipline. Failure to adhere to the following protocols invalidates all warranty claims:

• Storage Voltage: Batteries not in use for more than 48 hours must be maintained at a storage charge of 3.80V to 3.85V per cell. Storing packs fully charged or below 3.50V/cell causes permanent chemical swelling.
• Low-Voltage Cutoff: Discharging cells below 3.20V under load permanently degrades internal chemistry and voids warranty coverage.
• Charging Procedures: Batteries must be charged using smart balance chargers (e.g., TATTU TA300, ToolkitRC D6 PRO) on non-flammable surfaces or inside fire-retardant safety bags. Charging current shall not exceed 2C or the battery's rated charging rate. Unattended charging is strictly prohibited.
• Damaged Cells: Punctured, dented, or swollen batteries must be safely decommissioned immediately and will not be accepted into the VLI workshop.

Institutional and School Fleet Governance

For schools, tertiary institutions, and STEM training centers operating fleet rosters (3v3 or 5v5 competition squads):

• Consolidated Fleet Service: Academic institutions with 5 or more registered airframes are eligible for batched scheduled maintenance, pre-tournament technical checks, and consolidated invoicing.
• Dedicated Technical Contact: Institutional partners receive direct engineering support via info@velocity-lab.com with priority scheduling for workshop bookings.

General Terms

The customer must provide accurate equipment, fault history, and contact information and must appoint an authorised technical or programme contact. The customer is responsible for operating its equipment safely, following the supplied operating instructions, and ensuring that its own staff and students are suitably supervised.

Unless expressly included in the quotation, product and service fees exclude replacement parts outside warranty, batteries, propellers, shipping, courier freight, insurance, and work outside the agreed tier scope. VLI will not begin chargeable additional work without the customer's written approval.

The customer may not represent that VLI has approved an unquoted modification, custom electronic bypass, competition result, flight performance, or regulatory status. Any manufacturer warranty remains subject to the manufacturer's terms. This policy document complements and operates alongside the formal quotation, commercial invoice, service order, or applicable institutional agreement.

Waiver Summary

This safety policy and liability waiver applies to all individuals, students, teachers, coaches, tournament pilots, and spectators participating in workshops, building sessions, flight training courses, Smart Referee trials, and drone soccer competitions organized or delivered by Velocity Lab Innovation ("VLI").

Drone sports involve specialized robotics, high-speed electric motors spinning at up to 40,000 RPM, sharp propellers, high-discharge lithium batteries, and forceful projectile collisions inside designated flight enclosures. Safety requires strict adherence to operating discipline, personal protective equipment (PPE), and venue protocols.

Mandatory Safety Zone Regulations

All VLI training sessions, school STEM courses, and competition venues must enforce the following safety zones:

Participant Safety Conduct Code

All participants agree to abide by the following mandatory safety rules:

• Arming Discipline: Drones must NEVER be armed (motors spun up) outside the protective flight netting or designated test enclosure. Propellers must be completely removed when testing flight controller configurations or motor direction on the workshop bench.
• Personal Protective Equipment (PPE): Safety glasses or goggles must be worn whenever handling powered aircraft or soldering equipment. Loose hair, ties, and lanyard badges must be secured.
• Immediate Cease-Flight ("Disarm") Command: If any spectator, student, or animal breaches the perimeter, or if protective netting is damaged, the instructor or referee will call "DISARM" or "CUT THROTTLE". All pilots must immediately disarm aircraft.
• Physical Cage Recovery: After a match or flight session, pilots must visually confirm that all aircraft are disarmed before opening the netting door. Powered aircraft must be handled strictly by the outer cage frame, avoiding internal propellers.

Assumption of Inherent Risk

Participants, parents, and school representatives acknowledge that participating in drone sports, FPV piloting, and technical workshops entails inherent risks, including but not limited to:

• Physical impact from aircraft escaping containment due to structural failure or net damage.
• Minor cuts, abrasions, or pinch injuries from rotating propellers.
• Thermal burns from soldering irons, hot electronic components, or short-circuited batteries.
• Smoke inhalation or chemical exposure in the event of a damaged LiPo battery cell.

By registering for or participating in VLI programmes, participants freely and voluntarily assume all such inherent operational risks.

Release of Liability and Indemnification

To the maximum extent permitted by the laws of Hong Kong SAR:

• Release: The participant (and their parent or legal guardian if under 18 years of age) hereby releases, waives, and forever discharges Velocity Lab Innovation Limited, its directors, officers, instructors, employees, contractors, and agents from any and all claims, demands, liabilities, or causes of action for personal injury, illness, property damage, or wrongful death arising out of participation in VLI courses, workshops, or competitions, except where caused by gross negligence or willful misconduct of VLI.
• Indemnity: The participant or client organization agrees to indemnify and hold harmless VLI against all claims, costs, legal fees, and liabilities brought by third parties resulting from the participant's willful breach of safety rules, unauthorized equipment modifications, or reckless behavior.

Nothing in this document excludes or restricts any liability that cannot lawfully be excluded or restricted under Hong Kong law, including liability for death or personal injury resulting from negligence under the Control of Exemption Clauses Ordinance (Cap. 71).

Institutional and School Safeguarding

For courses delivered at primary, secondary, or tertiary educational institutions:

• School teachers and designated institutional supervisors retain primary supervisory responsibility and pastoral duty of care for participating students at all times.
• VLI instructors provide technical instruction, equipment coordination, and flight safety enforcement, but do not act in place of authorized school chaperones.
• VLI instructors reserve the right to immediately suspend any participant whose conduct threatens personal safety or violates workshop protocols.

General Terms

This agreement is governed by the laws of the Hong Kong Special Administrative Region. If any provision of this document is held to be invalid or unenforceable, all remaining provisions shall remain fully effective.

1. Policy Purpose

Velocity Lab Innovation ("VLI", "we", "us", or "our") values long-term institutional relationships that expand safe, practical, and sustainable drone-sports and technical education programmes. This B2B Referral and Service Credit Policy (the "Policy") explains how eligible education organisations may receive and use referral service credits in connection with qualifying VLI purchases.

The Policy is designed to support programme adoption, teacher development, technical readiness, maintenance, and student activity. It is strictly an institutional credit programme and does not constitute a cash rebate, sales commission, or personal incentive programme.

2. Institutional Eligibility

This Policy is available exclusively to incorporated or formally recognised education organisations, including primary schools, secondary schools, universities, NGOs, youth organisations, community organisations, or registered education centres (each an "Institution"). An Institution may participate only through an authorised representative acting strictly within that Institution's purchasing and ethics governance frameworks.

An Institution may submit a referral where it introduces VLI to another prospective education organisation (the "Referred Institution") that has not, prior to the referral submission date:

• Purchased products or services from VLI;
• Received a formal VLI quotation for the relevant programme within the preceding six (6) months;
• Been actively engaged by VLI through an existing sales opportunity, tender, request for quotation, or formal procurement process; or
• Been previously referred to VLI by another Institution or authorized partner.

VLI will determine, acting reasonably and using its internal customer records, whether a Referred Institution is eligible. VLI's eligibility determination is final for the purposes of this Policy.

3. Referral Submission Workflow

The referring Institution must submit the referral before, or at the time, VLI first receives the Referred Institution's substantive inquiry.

Referrals must be submitted by email to info@velocity-lab.com with the subject line "Institutional Referral - [Referred Institution Name]" and must include:

• The Referred Institution's legal and operational name.
• The authorized contact person's official business email and telephone number.
• A concise description of the prospective programme, STEM course, or equipment area of interest.

The referring Institution confirms that it possesses legitimate authority to make the introduction and has obtained the contact person's prior consent to share their details with VLI. Neither the referring Institution nor its representative should disclose unnecessary personal data or confidential procurement materials.

4. Qualifying Referrals and Credit Amounts

A referral becomes a "Qualifying Referral" only when all of the following conditions are satisfied:

• VLI formally accepts the referral as eligible under the criteria set out in Section 2;
• The Referred Institution executes its first paid commercial contract or purchase order with VLI of at least HK$5,000 in net order value, excluding shipping, travel, venue fees, taxes (if any), and reimbursable third-party expenses;
• The Referred Institution has settled all invoice amounts due under that initial qualifying order in full; and
• The equipment, service, or training programme has been delivered and completed without cancellation, refund, chargeback, material payment default, or unresolved dispute.

Once a Qualifying Referral is confirmed, VLI will issue service credits in the names of the respective Institutions for application toward their next purchase:

VLI may, at its discretion, confirm a modified credit amount in a written promotional notice or formal commercial quotation. Any such written notice will prevail solely for the specific campaign or quotation to which it expressly relates.

5. Permitted Use of Service Credits

Service credits may be redeemed exclusively against VLI products and services approved at the time of quotation. Unless otherwise confirmed in writing, credits may be applied toward:

A service credit may be applied to up to 20% of the total value of an eligible spare-parts or expansion-hardware order, provided that VLI confirms the order remains commercially viable and the credit is itemized on the written quotation. This hardware flexibility does not apply to initial core drone kits, transmitters, flight batteries, smart chargers, competition arenas, discounted bundle packages, public tender pricing, or products where the credit would reduce the hardware margin below VLI's approved threshold.

6. Exclusions and Restrictions

Service credits are non-cash instruments and cannot be exchanged, refunded, transferred, sold, assigned, pledged, or redeemed for cash. Credits may not be used for or in conjunction with:

• The initial drone kit, controller, battery, charger, arena enclosure, or core hardware included in the Referred Institution's first qualifying order;
• Quotations already subject to tender pricing, formal public procurement procedures, special distributor discounts, clearance sales, or concurrent promotional campaigns, unless expressly approved in writing;
• Freight, delivery, courier charges, instructor travel expenses, venue rental, insurance, statutory permits, third-party contractor fees, or unapproved replacement parts;
• Credits previously expired, cancelled, or revoked under this Policy; or
• Equipment or services not listed in VLI's current service catalogue or active quotation price book.

VLI will not issue a service credit where it reasonably determines that the referral represents a self-referral, duplicate entry, artificial arrangement, improper inducement, or breach of either Institution's purchasing or anti-corruption regulations.

7. Validity, Redemption, and Limits

Each service credit is valid for twelve (12) months from its formal issue date and must be redeemed against a qualifying VLI quotation or invoice prior to expiration. Any unused credit balance expires automatically upon the 12-month anniversary and will not be extended, refunded, or carried forward without prior written approval.

An Institution may receive a maximum cumulative total of HK$6,000 in referral service credits in any rolling 12-month period under this Policy. VLI may apply an approved credit in full or in part against an eligible invoice. Any remaining balance remains valid until fully drawn down or expired.

A service credit cannot reduce the net invoice total of any item below zero, nor may it be applied as an order deposit or used to offset overdue account balances. The Institution remains responsible for all invoice charges not covered by the credit in accordance with standard VLI payment terms.

8. Institutional Compliance and Ethical Conduct

All referral service credits are issued strictly in the legal name of the Institution and never to an individual teacher, employee, principal, school board member, procurement officer, volunteer, or personal representative. VLI strictly prohibits the offering or provision of personal cash, vouchers, gifts, kickbacks, or personal advantages in connection with institutional referrals.

Before submitting a referral or redeeming a credit, the Institution must ensure that participation complies fully with its own procurement guidelines, conflict-of-interest disclosures, gift policies, and statutory regulations under the Prevention of Bribery Ordinance (Cap. 201). The Institution is solely responsible for securing internal approvals and maintaining required institutional accounting records.

VLI reserves the right to request written certification confirming compliance. VLI may withhold, suspend, or cancel credits where issuance could create an actual, potential, or perceived conflict of interest or compromise public procurement integrity.

9. Programme Relationship and Brand Usage Terms

Separately from referral credits, VLI may offer relationship-building benefits such as collaborative case studies, pilot demonstrations, peer references, technical review sessions, or co-branded launch events. These discretionary benefits must be agreed upon in writing and do not obligate the Institution to endorse VLI, provide commercial testimonials, or purchase additional services.

By participating in this Policy or redeeming a service credit, the Institution grants VLI a non-exclusive, royalty-free, revocable license to display the Institution's official name, logo, and general partnership affiliation on VLI's digital portal, pitch decks, and educational reports solely to identify the Institution as a participating education partner or client.

VLI agrees to reproduce the Institution's logo faithfully in accordance with any provided brand guidelines. VLI will not use the Institution's marks in any manner implying formal endorsement, legal sponsorship, or liability beyond the scope of this Policy.

Any public release of photographs, video recordings, student imagery, or project footage captured on the Institution's premises requires prior written authorization and appropriate parental/guardian consent.

The Institution may revoke brand usage permission at any time by emailing info@velocity-lab.com. VLI will remove the logo from digital portals within fourteen (14) business days and cease its incorporation into future printed collateral.

10. Cancellation, Reversal, and Suspension

VLI reserves the right to cancel, reverse, suspend, or refuse redemption of any service credit where:

• The associated qualifying order is cancelled, refunded, charged back, substantially reduced, or unpaid;
• The referral was submitted after VLI had already initiated substantive contact with the Referred Institution;
• Information supplied in connection with the referral is found to be materially inaccurate, misleading, or fraudulent;
• VLI reasonably suspects procurement abuse, collusion, improper advantage, or policy violations; or
• The Institution breaches a material term of its commercial agreement, quotation, or invoice terms with VLI.

Where a credit has already been credited against an invoice and is subsequently reversed, VLI will issue an adjusted invoice for the corresponding sum, accompanied by a written explanation.

11. No Agency, Partnership, or Exclusivity

Participation in this Policy does not establish an agency, partnership, joint venture, employer-employee relationship, franchise, or commercial distributorship between VLI and any participating Institution. Neither party possesses authority to bind the other or enter into commitments on the other's behalf. Participating Institutions retain complete independence regarding supplier selection.

12. Policy Amendments

VLI may amend, suspend, or withdraw this Policy at any time through written notification, website announcement, or publication of an updated version. Changes will not retroactively affect credits legitimately issued prior to the revision date, except where necessary to address legal, regulatory, anti-corruption, or security compliance.

13. Governing Law and Inquiries

This Policy is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising under or in connection with this Policy shall be addressed through good-faith consultation between authorized representatives, failing which the courts of Hong Kong SAR shall have non-exclusive jurisdiction.

14. Institutional Acceptance

An Institution confirms its acceptance of this Policy by submitting a formal referral, accepting an issued service credit, requesting credit redemption on an invoice, or otherwise participating in the programme. Participation constitutes confirmation that the Institution's authorized representative has read, understood, and agreed to these terms.
